Our wide knowledge of the market enables us to find ideally suitable targets for our clients. Our regular contacts to members of the management of major companies in the respective sector mean that we learn of opportunities to buy or sell companies and equity holdings at an early stage.

KP TECH is equipped with probably the most extensive research capability in the technology industry in Germany for determining company valuations. We have been tracking all the acquisition transactions in the ICT sector in recent years and can draw on a large database of deals to identify the leading valuation parameters and underlying trends.

KP TECH can be brought in at any phase of the M&A process. In many assignments we are involved in the development of the acquisition strategy, working with members of the Board of Directors and senior management. In other situations, the strategy is in place and we are required to start the process with the detailed search for suitable targets. In some cases the preferred target has already been identified and KP TECH is contracted to execute the transaction:
 
  • Compile or refine acquisition strategy
  • Conduct a thorough search to identify qualified acquisition candidates (Long List and Short List)
  • Approach the target list candidates on an anonymised basis regarding their interest to sell
  • Compile company presentation ("Why are we the best buyer?")
  • Arrange meetings with the Short List targets
  • Provide comprehensive valuation guidance
  • Provide guidance and determination on deal structuring
  • Develop and negotiate the Letter of Intent
  • Coordinate the due diligence process
  • Act as sparring partner in contract negotiations
  • Moderate between both parties to close the deal
